Supplier Code of Conduct

As already stated in the Arbos Code of Ethics, the company is committed to high standards of integrity and sustainability. Arbos enforces a ‘zero tolerance’ policy for business conduct that contradicts ethical principles, including any form of illegality, corruption, or forced labor. We expect all our suppliers to adhere to similar standards and conduct their business ethically.

The Supplier is required to comply with all applicable laws and regulations, the requirements outlined in this Arbos Supplier Code of Conduct, and any contractual obligations towards Arbos.

This Arbos Supplier Code of Conduct defines the fundamental principles that must guide the activities of every Arbos Supplier.

a) Human Rights

The Arbos Supplier is required to:

  • Respect the dignity, privacy, and rights of every individual;
  • Not force anyone to work against their will;
  • Prohibit behaviors, gestures, expressions, or physical contact of a sexual or coercive nature or that may constitute a threat, abuse, or exploitation.

b) Fair Working Conditions

The Supplier is required to ensure fair working conditions. In particular, the Supplier must:

  • Not discriminate against job applicants based on gender, age, ethnicity, nationality, religion, union membership, political affiliation, or sexual orientation;
  • Respect employees’ right to assemble in associations and engage in collective bargaining;
  • Not tolerate, and under no circumstances employ, child labor at any stage of its operations, except where expressly permitted by law;
  • Not use forced labor, including but not limited to involuntary prison labor, slavery victims, and human trafficking, and must allow any employee to leave their job freely with reasonable notice;
  • Provide employees with fair wages in compliance with wage laws and/or collective labor agreements, and where these do not exist, ensure employees receive a wage that allows for a decent standard of living;
  • Ensure that working hours and overtime do not exceed legal limits and, where such limits do not exist, do not exceed sixty hours per week, including overtime;
  • Guarantee that employees have at least one full day of rest per week.

c) Environment

Arbos is committed to environmental responsibility throughout the entire production chain and expects the same from its Suppliers. The Supplier must:

  • Comply with applicable environmental laws and regulations;
  • Obtain and maintain all necessary environmental permits required for its operations;
  • Ensure the proper management and disposal of hazardous materials;
  • Strive to reduce emissions of pollutants that impact air, water, and soil;
  • Act for the protection of natural resources and wildlife;
  • Work towards the prohibition or restriction of potentially polluting substances and promote material recycling.

d) Business Ethics

The Supplier is required to conduct its business ethically and must:

  • Avoid any form of corruption, extortion, and illegality, and in particular, ensure that any payments, gifts, or other commitments towards customers (including Arbos employees), public officials, and others comply fully with applicable anti-corruption laws;
  • Comply with antitrust laws and all other competition laws;
  • Inform Arbos of any potential conflicts of interest concerning its role as an Arbos Supplier, including any financial interest that an Arbos employee may have in the Supplier’s business;
  • Protect all confidential information provided by Arbos and any of its business partners;
  • Respect the intellectual property rights of third parties, including Arbos;
  • Comply with international trade and export control regulations.

e) Measures

Should any non-compliance be reported by Suppliers or identified by Arbos, the company may require the Supplier to plan and implement necessary corrective actions. Arbos reserves the right to terminate any relationship and/or contractual agreement with any Supplier that refuses to implement corrective measures within a reasonable timeframe, without prejudice to the exercise of rights and legal remedies associated with such termination.
